Software in Life, Inc. (together with its affiliates and linked services, “Software in Life,” “we,” “us,” and/or “our”) has established this agreement of Terms of Service (or these “terms”) so that you may easily understand your rights and obligations.
By accessing or using Docswave services, you agree to be legally bound by these terms. Through these terms, moreover, you can confirm the rights, obligations, responsibilities, and other matters between Software in Life and its members (“members” or “you”). Software in Life shall post these terms for public view in an accessible manner.
Software in Life will do its best to continue to provide Docswave services, and we expect this Terms of Service to be helpful for understanding Docswave services.
The definition and interpretation of the terms used herein are as below.
“Docswave” is a platform where users and members share and process data conveniently.
“Docswave services” incorporate all Docswave-related services, regardless of the device used (e.g., wired or wireless devices including computer, television, mobile phone, and other portable devices).
An “account” is an account for login or connected with other services, which is created based on an email address and password necessary for using Docswave services.
An “organization (or “org”)” is the unit of a group needed for using for Docswave services. It is possible for one account to be affiliated with multiple organizations.
“Contents” are documents, texts, photos, videos, files, or links posted within Docswave services.
“Data” signifies contents, personal information, or other contents or information provided to Docswave services. The meanings of terms which are not defined in this Terms of Service shall follow the definitions in the Privacy Policy.
These terms will be posted at all times for your view.
Software in Life may amend this Terms of Service.
In such case, Software in Life will post a notice regarding the amended content, reason for amendments, and the date the amendments are applied seven days before the amended Terms of Service become effective.
However, if the amended Terms of Service are unfavorable to you, Software in Life shall post the amended contents thirty days prior to the amended Terms of Service become effective to explain, in a comprehensible way, the influence the amendments have on your rights.
Notwithstanding the aforementioned notification, if you do not agree with the amended Terms of Service, you can choose to stop using Docswave services and withdraw your membership based on this Terms of Service. If you continue to use Docswave services after the amended Terms of Service become effective, you will be deemed to have agreed to the amended Terms of Service.
The applicability of this Terms of Service is restricted to Software in Life and you only. No third party is entitled to any right to the benefits under the Terms of Service.
If you fail to comply with this Terms of Service and if Software in Life does not take immediate action, this does not mean Software in Life waives its rights whatsoever related with this Terms of Service.
If any provision of this Terms of Service becomes unenforceable due to applicable laws, the unenforceable provision will not have any effect on other provisions in the Terms of Service and will lose effect only within the extent of the applicable laws.
You can make a request to create an organization in Docswave.
To use Docswave services, you need to make a request to create an organization, create an account, and connect your device.
By requesting to create an organization and connecting your device, you agree to this Terms of Service.
Software in Life may not accept your request to create an organization and an account in the following cases.
- (1) If Software in Life had deleted your organization or an account in the past.
- (2) If you had attempted to create an organization or account with the name, email address, or personal information of a third party.
- (3) If you fail to provide required information or if you provide false information in the application 04.wm.process.for creating an organization or an account.
- (4) If there are relevant legal or justifiable reasons, Software in Life may not accept your request to create an organization or an account.
If your action of creating an organization or an account is confirmed as breaching such agreement conditions, Software in Life may prohibit you from using Docswave services or delete your organization or account immediately.
If you are under the legal age for application, the consent of your parent or legal guardian is necessary to apply for an account.
You may only use your own account, and you may not allow anyone else to use your account. You are responsible for managing the privacy of your password or connected account(s) to prevent other persons from using your account without permission.
If you become aware of the fact that your organization or account has been used by a third party without permission or if there are any issues with your account, please contact our Customer Service. Software in Life will provide information on how to protect your account.
You may use Docswave services based on the license lawfully granted.
Through this Terms of Service and Software in Life’s policies, Software in Life grants you a personal, non-sublicensable, and non-exclusive license to use Docswave services.
For the enhancement and supplementation of the quality of Docswave services and your convenient use, Software in Life reserves the right to modify or suspend the functions, features, or service environment.
Software in Life may segment Docswave services in parts, or it may provide the whole or partial Docswave services to each user according to service plans, user status, registered information, or other varied conditions set by Software in Life.
In addition, although Software in Life provides Docswave services for free, some Docswave services are provided as paid services and thus the corresponding service fees will be charged.
Software in Life will notify you of any significant changes (including service transition), in advance, by posting the changes on our website.
Only Software in Life is exclusively and solely entitled to all rights, authority, and profits associated with Docswave services and its components (i.e., the whole intellectual property).
You may use Docswave services for lawful purposes. You may not misuse or use Docswave services in manners which violate the standards set by Software in Life.
For example, you may not interfere with the provision of Docswave services or access Docswave services in a method not provided or approved by Software in Life.
Not only that, but you may not collect, use, or provide the information of other Docswave service users. Moreover, you may not post or transmit offensive or pornographic data. You may not violate the rights and profits (including, but not limited to, copyright) of third parties, and you may not breach the rights, profits, public orders, laws, or the good morals of third parties.
You may not permit the replication, alteration, distribution, sales, transfer, rental, provision of guarantee, or use by other persons of the Docswave services or the whole or partial software included in Docswave services without seeking Software in Life’s approval in advance. Additionally, you may not engage in acts such as reverse engineering or attempting to extract the software source code included in Docswave services. You may also not replicate, disassemble, reproduce, or change Docswave services in any other way.
If you fail to comply with applicable laws, this Terms of Service, and the policies of Software in Life, Software in Life may investigate this non-compliance or prohibit you from using Docswave services, temporarily or permanently.
Software in Life endeavors to provide reliable services.
Software in Life strives to provide Docswave services 24 hours a day and 365 days a year, uninterrupted.
However, as a result of regular and temporary inspections of equipment for maintenance, repair, or due to other unavoidable reasons (i.e., force majeure), Docswave services may be temporarily suspended. In this case, Software in Life will do its best in the given circumstances to notify you about the situation.
Notwithstanding, other than as permitted in the maximum extent of the applicable laws or expressly set out in this Terms of Service, Software in Life disclaims all promises or any kind of warranty.
For instance, Software in Life does not make any promises nor guarantees matters related with the service contents, the specific functions of the services, or service utility included in Docswave services. Software in Life provides Docswave services “as is.”
Software in Life is not responsible in any manner whatsoever for the following:
- (1) Physical harm resulting from your access to or use of Docswave services
- (2) Damage resulting from a third party’s unauthorized access to or use of your account or Software in Life’s server
- (3) Damage resulting from the interruption or suspension of Docswave services by a third party
- (4) Damage resulting from bugs, viruses, Trojan horses, or the like transmitted by a third party
- (5) Damage resulting from the omission or destruction of data
- (6) Damage incurred by you (including, but not limited to, defamation) in the course of a third party’s use of Docswave services
Moreover, to the fullest extent permitted by applicable law, Software in Life and the executives, directors, partners, employees, agents, and advisors of Software in Life’s affiliates (collectively referred to as “Software in Life parties”), will not be responsible whatsoever for lost profits, lost revenues, lost savings, or any indirect, punitive, or exceptional damages related with the use of Docswave services, even if the possibility of such losses or damages were advised in advance.
You expressly agree that, if losses or damages are incurred by Docswave services, the aggregate liability for all losses or damages shall not exceed the total amount you paid to Software in Life.
Software in Life manages your data in order to provide Docswave services.
By accessing and using Docswave services, you are granting Software in Life the right to manage your data.
For example, to enable you and your members to utilize Docswave services, it is necessary for Software in Life to transmit, save, copy, delete, and edit contents in connection with various cloud services. Software in Life also needs to index contents to allow you to search them as well as to prevent and back up data. Software in Life may manage data according to your setting in Docswave services.
If you provide data to Docswave services, you will be deemed to have granted Software in Life and the affiliates and linked services of Docswave services a worldwide and permanent license to use, save, copy, modify, transmit, disclose, describe, publicly post, distribute, create any derivative works from, or permit other users to use such data. This license will survive even after you stop using Docswave services or after you deactivate your account.
To emphasize once more, the rights granted to Software in Life and the affiliates and linked services as related with the license as such will be solely used for the purpose of operating, developing, and promoting Docswave services in addition to developing new services.
For you to use Docswave services, you need to be possessing or have to obtain all legal rights needed for the data you provide. If Software in Life becomes aware of or determines that the data you provided violate applicable laws or Software in Life’s policies, Software in Life may delete the data concerned or reject your posting and utilization of such data within Docswave services. However, Software in Life is not obligated to review all of your or other users’ data.
If Software in Life determines that your valuable right to data has been infringed, you can receive assistance from Software in Life’s Customer Service.
Docswave services may include data not owned by Software in Life. In this case, the user who provides the data shall be solely responsible for the data. Your use of Docswave services does not mean that you have the rights to the data provided by other users. To use data made available by other users, you must obtain separate permission from the data’s owner.
You can use certain Docswave functions as paid services.
Software in Life provides Docswave services for free, but certain services and functions may be provided as paid services.
For example, the workflows in Docswave can be used among members for free, but certain functions such as adding boards can be used after signing up for Premium Service. Also, for the convenient function of integrating Docswave services with the service provider, for instance, you can choose to use the function by paying a fee.
If you would like to use the paid services and functions of Docswave provided by Software in Life, the fees concerned need to be paid in advance.
The payment methods for paid services and functions which Software in Life provides include credit card, bank transfer, etc. The payment method may depend on each paid service and function. For services which require monthly payment, payment will take place every month unless you stop using the services and personally request the cancellation of monthly payment.
The payment for paid services and functions of Docswave is provided and calculated on a monthly basis for the convenience of both purchase and payment as well as the calculation of units used. The units of purchase are provided as “seats” for paid services. A seat is a unit of purchase which grants one month of the paid service or function for one person. Seats can be purchased by the organization. If you purchase certain number of seats, the number of seats equivalent to the number of your organization’s members will be deducted every month.
Software in Life may require additional personal information from you in order to 04.wm.process.your payment for the paid services and functions of Docswave, and you must provide accurate personal information required by Software in Life.
You may request refund for or raise objections to our paid services.
The typical 04.wm.process.for refund request is as follows.
- - After deducting the number of used seats after you have paid for the paid services and functions provided by Docswave, Software in Life will charge a 10% 04.wm.process.ng fee on the remaining seats and then provide the final refund.
- - If you request refund within fourteen days of your payment for paid services and functions, refund can be proceeded by cancelling the payment for which refund is requested.
However, if Software in Life limits your service use or terminates the agreement due to your violation of this Terms of Service, Software in Life shall not proceed with any refund whatsoever.
소In the following cases, Software in Life will proceed to a full refund.
- If you were unable to use Docswave services due to disabled service or other causes attributable to Software in Life, even when you have fulfilled the minimum technology requirements suggested by Software in Life
- If the services you paid for were not provided
- If the provided service you paid for is different from as written in text or ads, or if the difference is substantial
- If the normal use of the paid service is remarkably difficult due to the defect of the service provided
Refund, however, is only possible if payment for the paid service was made within three months.
You may raise objections to the service charge.
However, your objection must be raised within one month you became aware of the cause and within three months the cause took place.
For mischarges or full refunds, Software in Life will provide the refund using the same method the payment was 04.wm.process.d with. However, if it is impossible to provide the refund using the same method or in the case of partial refund due to cancellation of service before its termination, refund shall be proceeded in a separate method set forth by Software in Life. For a refund attributable to you, you will be responsible for the fee necessary for 04.wm.process.ng the refund. For a refund attributable to Software in Life, Software in Life will be responsible for the fee necessary for 04.wm.process.ng the refund.
Software in Life is equipped with a security system to protect personal information (including credit information) to enable its users to use the paid services and functions securely. Software in Life also notifies and complies with its Privacy Policy. In the case of ordering and payment of paid services and functions of Docswave, relevant information may be offered to the transaction parties to carry out the transaction, such as facilitating communication and consultation, within the extent permitted by law, etc.
You are obligated to confirm item details and transaction conditions before purchasing any paid services or functions of Docswave. You will be held responsible for all losses and damages caused by failing to confirm the content and transaction conditions for the item of purchase.
In this regard, Software in Life may confirm whether the transaction was made properly and lawfully. Software in Life may suspend the transaction 04.wm.process.until the lawfulness of your payment method is confirmed or it may cancel the transaction. Behaviors such as repetitive purchases without the intention of purchasing or using paid services and functions or accessing the system using abnormal methods are also prohibited.
When a user under the age of applicable legal age uses the paid services and functions of Docswave, the legal guardian’s consent to the agreement is necessary for successfully purchasing the item. For an agreement for which the legal guardian’s consent is not obtained, the user (under the age of applicable legal age) himself or the legal guardian may cancel the agreement.
You may withdraw from Docswave services at any time.
If you do not use Docswave services any longer, you can make a request to Software in Life to withdraw from your organization and account in Docswave services. Once your use of Docswave services is terminated, your personal information will be deleted according to the applicable laws, the Terms of Service, and the Privacy Policy of Software in Life. However, information which needs to be managed at the organizational level in Docswave services may not be deleted. If the administrator of the organization deletes the organization, the organization’s information and all personal information within it will be deleted.
The governing laws of Docswave services are as follows.
The Terms of Service of Docswave services and any relevant actions will be ruled by the laws of the Republic of Korea. The Seoul Central District Court holds the exclusive jurisdiction for the Terms of Service and all legal actions concerned, and each of the parties waives any objection to the jurisdiction of such court.
If you are accessing Docswave services in any location other than the Republic of Korea, you must accept full responsibility for complying with the legal obligations of your region. Software in Life will make efforts, to its fullest extent, to operate its services in a way that does not conflict with the laws of nations worldwide.
